IMPORTANT: The WSA Tool and associated website is the sole property of Medwin Poots Associates (MPA), London England. Any WSA materials or services offered must be from this source, or a legally acknowledged partner, otherwise they will be fraudulent and liable to prosecution.

1. Use of Our Site
1.1 Your use of this website is subject to these terms and conditions ("these Conditions").
1.2 By using this site you are agreeing to be bound by these Conditions and our Privacy Policy. If you do not agree to these Conditions, do not use this Site. In addition, if you purchase any of our goods or services, then that purchase is governed by our Terms and Conditions of Business (see paragraph 4 below). Please read these; they are important.
1.3 We may change these Conditions at any time but undertake to give you one week’s notice, via email, when doing so.
2. Intellectual Property Rights
2.1 All intellectual property on the WSATOOL.COM website is the intellectual property of Medwin Poots Associates (MPA) and is protected by copyright.
2.2 You may read, print and download parts of the material on this site for your private use or for use in the ordinary course of your business, but you may not make any profit from the use of that material and you may not republish, disseminate or transmit any of that material, or exploit it for commercial purposes, make any derivative work, or copy it for any other purpose without first obtaining written permission from Medwin Poots Associates (MPA). Note that the word ‘republish’ covers all means of publishing and presenting information including technical and electronic means.
2.3 The ‘Work Style Analyser (WSA)’ and ‘WSATOOL.COM’ are brand names fully owned and protected by Medwin Poots Associates (MPA).
3. Data Protection and Privacy
3.1 MPA wants to protect the privacy of visitors to our website. Our Privacy Policy explains how we use your personal data and we strongly recommend that you read this Privacy Policy which is easily accessible from the website.
3.2 Whenever you give us personal data, you are consenting to its collection and use in accordance with our Privacy Policy.
4. Purchase of Goods and Services
4.1 By purchasing goods or services from us via the WSATOOL.COM website you agree to be bound by our Terms and Conditions of Business which are found below.
5. Third Party Goods and Services and Links
5.1 MPA is not liable for goods or services from third parties, even if you have been directed from our site to them. Any contract which is formed through such connections exists solely between yourself and the third party individual / organisation.
5.2 MPA will not be liable for any loss or damage caused by or in connection with use of, or reliance on, any content, goods or services available on or through any other website – regardless of whether the WSATOOL.COM website has a direct link to it or not.
6. Accuracy of Information and Disclaimer
We try to ensure that any information on our site is accurate, but we make no representations and give no warranty that any information is accurate, up to date or complete. We accept no liability for any loss or damage caused by inaccurate information or by the manner in which that information is used or interpreted by others.
7. Our Liability
7.1 Where you have purchased goods or services, our liability is governed by our Terms and Conditions of Business.
7.2 We have no liability for the inability of anyone to access our site or any information, material or service on it, and we do not warrant that our site will operate without interruption.
7.3 We do not exclude or limit our liability for death or personal injury caused by our negligence or for any fraud on our part, or for any liability which cannot be excluded by law.
7.4 Subject to Condition 7.3, we will not be liable for any indirect or consequential loss, or for any loss of business, profit, revenue, goodwill or data, lost or wasted management time or the lost time of other employees arising from your use of our site or information on it (whether direct or indirect).
7.5 Except as expressly set out in our Terms and Conditions of Business (which applies only in relation to any purchased goods or services) we exclude to the fullest extent permitted by law all warranties, representations, terms, conditions and undertakings, whether implied by statute, common law, custom, trade usage, course of dealing or otherwise (including any implied warranty, representation, term, condition or undertaking of satisfactory quality or fitness for a particular purpose).
7.6 The information on this site is not intended to address your particular requirements; it does not constitute any form of advice or recommendation by MPA and is not intended to be relied upon by you in making (or refraining from making) any decisions. Where appropriate you should take professional advice.
8. General
8.1 No delay, neglect or forbearance on the part of MPA in enforcing any of these Conditions will be or be deemed to be a waiver or in any way prejudice any right of MPA.
8.2 If any of these Conditions is, for any reason, held to be unenforceable, illegal or otherwise invalid in any way, the unenforceable, illegal or invalid provision will not affect any other Condition and those Conditions will continue in full force and effect.
8.3 These Conditions are governed by English law and you agree you will only sue us in the courts of England. The place of performance of the contract will be England.
8.4 No addition to or modification of any provision of these Conditions will be binding on MPA unless made in writing and signed by its duly authorised representative.

Terms and Conditions of Business

If you have questions about any of these terms and conditions, please contact MPA at the address above.
1. Definitions
1.1 In these terms and conditions, the following shall have the following meanings:
“WSA” refers to the Work Style Analyser;
“MPA” refers to Medwin Poots Associates;
“WSA Analyst” refers to an individual trained by an MPA accredited WSA Trainer and subsequently awarded a numbered certificate of qualification;
“Scoring Service” means a service which provides scoring of the WSA;
“Client” means any person or organisation purchasing MPA’s Materials or the WSA Analyst using materials; “Materials” means test and training materials, whether printed materials or recorded on any other medium (such as video, DVD, CD-ROM or other software program);
“Trademarks” means all the registered and unregistered trademarks used by MPA in the course of business.
1.2 The headings in these terms and conditions are for convenience, and do not affect their interpretation.
2. Changes to Products, Services and Prices
Prices for materials and services are subject to change without notice. New prices for materials and services will be presented on the WSATOOL.COM website. All materials and services may be subject to immediate withdrawal without notice.
3. Supply of Product
MPA accepts no liability for delays in the supply of products or services which are caused through third party faults.
4. Use of the Materials
4.1 The purchase of WSA materials is strictly limited to those who are trained WSA Analysts or in some cases, a person who is under the supervision of a WSA Analyst. If you are in any doubt about the legitimacy and legality of using our materials in any way, please contact us at enquiries@wsatool.com.
5. Ordering
5.1 Any order placed by the Client will be deemed to be an offer by the Client to purchase the Materials subject to these terms and conditions.
5.2 No order placed by the Client will be deemed accepted by MPA until the client has provided all of the necessary information required for invoicing: Name, Job Title, Delivery Address, Invoicing Address, Purchase Order Number, the WSA Analyst’s certificate number and contact details. Furthermore, an order placed by a client will not be deemed accepted by MPA until delivery of said materials to the client.
6. Shipping and Packaging
6.1 Standard delivery charges to cover postage and packaging will apply to all Materials other than computer-scored reports; if the Client requires guaranteed next day delivery or delivery outside the UK, please contact MPA at enquiries@wsatool.com.
7. Payment and VAT
7.1 Payment terms are 30 days and all materials and services will be invoiced to include the appropriate rate of VAT.
7.2 MPA reserves the right to charge interest and costs of recovery in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 (as amended).
8. Claims
8.1 All claims should be made in writing to MPA’s registered address quoting the invoice and WSA Analysts certificate number:
• Within three days of receipt of Materials in respect of damage or discrepancies between Materials ordered and Materials received;
• Within 21 days of dispatch in respect of non-delivery;
• Within one calendar month of dispatch in respect of defective Materials.
9. Return for Refund or Credit
9.1 MPA will not accept claims for refunds on any goods or services without prior notice.
9.2 MPA will not reimburse any shipping or delivery costs incurred to return Materials, unless these costs are agreed by MPA in writing prior to shipping or dispatch.
10. Change of Address or Employer
If the Client changes address, or employment, the Client must inform MPA as soon as practically possible and arrange for a new annual WSA licence to be paid by the new employer.
11. Client’s Obligations
The Client represents, warrants and undertakes that:
11.1 The WSA Analyst, and employing Company, shall undertake not to license, lend, exchange, give or otherwise dispose of WSA materials to third parties or act as agent, distribution channel or stockist of said materials.
12. Intellectual Property
12.1 All MPA’s products are protected by intellectual property rights (including trademarks, copyright, patents and design rights) and rights of confidence. Reproduction of these products in whole or in part, in any form, or their storage in a database or retrieval system, by any process, is prohibited except where expressly permitted by law or by licence.
12.2 The Client shall not reproduce, copy, vary or adapt the Materials by any means or in any way whatsoever, or enter or convert the same into any kind of information storage or retrieval system, including but not limited to any form of electronic or computer system.
12.3 The contents of MPA’s methods of scoring and processing results are secret and confidential and the Client must not disclose them to any third party.
13. Liability
MPA’s liability arising under or as a result of the provision or use of the Materials, whether in contract, tort, breach of statutory duty or otherwise, will not exceed the price paid by the Client for such Materials and their delivery. Nothing in these terms and conditions will exclude or limit MPA’s liability for death or personal injury, or for any fraud on MPA’s part, or for any liability that cannot be excluded by law. Subject to the foregoing sentence MPA will not be liable for any indirect or consequential loss, loss of business, profit, revenue, data or goodwill, or for lost or wasted management time or the lost time of other employees arising from the WSA Analyst’s use of the materials and services (whether direct or indirect), or from unauthorised use of the materials and services.
14. Exclusions
Any condition, representation or warranty that might otherwise be implied or incorporated within these terms and conditions by reason of statute or common law or otherwise is hereby expressly excluded to the fullest extent permitted by law.
15. Governing law and jurisdiction
These terms and conditions are governed by English law and are subject to the exclusive jurisdiction of the English courts. The place of performance of the contract will be England.

 


Terms of Business for Booking WSA Training Courses

1. WSA Training Course Content and Prices
1.1 The details of the design and content of WSA training courses and prices are correct at the time of publication, but they may be subject to change without notice.
1.2 MPA reserves the right to cancel or reschedule workshops without penalty or liability if there are insufficient bookings, or for reasons outside MPA’s control.
2. Payment
2.1 Fees are payable 28 days before the start of all WSA training courses. Immediate payment by cheque or BACS will be required on any bookings received within 28 days of the course start date.
2.2 VAT at the UK rate (currently 17.5%) is chargeable on all fees for MPA’s training courses held in the UK, regardless of the country of residence of the course participant. Where WSA Training Courses are held in other EU countries, VAT will be charged as required by the country concerned.
2.3 The cost of optional overnight accommodation is not included in the training course fee, and participants are expected to make their own accommodation arrangements.
2.4 MPA reserves the right to charge interest and costs of recovery in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 (as amended).
3. Ownership of Materials Included in Workshop Fees
It is a condition of sale that ownership of materials shall not transfer to the participant or his employer (as the case may be) until full payment is received by MPA in respect of the relevant training course. If payment is not received by its due date, MPA may repossess any materials that have not been paid for.
4. Cancellation Policy
4.1 In respect of cancellation by MPA, a full refund will be given upon return to MPA of any pre-course materials already dispatched.
4.2 In respect of a cancellation by a participant, the following cancellation charges are payable:

4.3 All cancellations must be made in writing.
5. Liability
5.1 MPA will try to notify participants as soon as reasonably possible if a workshop has to be cancelled.
5.2 MPA’s liability arising under or as a result of the provision of the WSA training courses, whether in contract, tort, breach of statutory duty or otherwise will not exceed the price paid by the participant (or his employer) for said training course. Nothing in these terms and conditions will exclude or limit MPA’s liability for death or personal injury, or for fraud on MPA’s part, or for any liability that cannot be excluded by law. Subject to the foregoing sentence, MPA will not be liable for any indirect or consequential loss, loss of business, profit, revenue, data or goodwill, or for lost or wasted management time.
6. Ethical use of the WSA
The WSA Training Course shall give specific instruction on the ethical and proper use of the instrument both in paper-and-pencil form, and on the website. WSA Analysts must undertake to abide by these guidelines and note that MPA will accept no liability for the consequences should they fail to do so.
7. Governing Law
These terms and conditions are governed by English law and are subject to the exclusive jurisdiction of the English courts.
